Contract Terms and Settlement · Warrants & Rights
Settlement can deliver shares, cash or a reduced number of shares under a cashless formula. These outcomes have different funding requirements and should never be treated as interchangeable.
Physical delivery creates a funding step
With a deliverable corporate call warrant, the holder may pay the exercise price and receive shares. A warrant covering one share with a $10 strike needs $10 per exercised warrant, even if the warrant itself was acquired cheaply. Confirm that the shares can be delivered and traded without an additional restriction.
Cash settlement pays a defined amount
A simple cash settled call might pay the positive difference between a reference price and strike, multiplied by the entitlement. If the reference is $36, the strike is $30 and each warrant represents 0.1 share, the gross payment is $0.60 per warrant.
The reference may be an average, an official fixing or another contractual measure. Foreign currency conversion, fees and rounding can change the amount received. A price visible on a chart is not automatically the contractual reference.
Cashless exercise is a separate contractual mechanism
Some corporate warrants allow the holder to surrender part of the entitlement instead of paying cash. Under one illustrative formula, shares delivered equal warrant quantity multiplied by the difference between fair market value and strike, divided by fair market value.
For 1,000 warrants, a $15 defined fair market value and a $10 strike, that formula produces approximately 333.33 shares before rounding. It is only an example. Actual agreements can use tables, caps, averaging definitions and specific eligibility conditions. Never apply this formula without matching it to the document.
Compare economic and operational outcomes
Cashless exercise avoids a particular cash payment but does not create free value. Fewer shares are delivered. Cash settlement also leaves no continuing shareholding unless one is purchased separately. Decide whether the intended result is cash, ownership or an exit from exposure, then compare available routes and costs.
Try it yourself
A cash settled call has a strike of $20, a reference price of $24 and an entitlement of 0.25 share. What is its gross payoff?
Show the worked answer
The payoff is $1 per warrant: the $4 positive difference multiplied by 0.25. This excludes the warrant purchase cost and any expenses.
