Research and Risk Practice · REITs
Management can influence how growth benefits shareholders. Compensation, fees and related party transactions reveal which outcomes decision makers are rewarded for pursuing.
Identify who makes decisions and how they are paid
An internally managed REIT employs its management team. An externally managed structure contracts with another entity. Neither label alone determines quality. Examine compensation, management fees, termination terms and ownership. Rewards linked to asset growth may encourage different behavior from rewards tied to sustainable per share returns.
Read related party disclosures without jumping to conclusions
Transactions involving affiliates can have legitimate purposes, but require careful examination of pricing, process and conflicts. Identify the relationship, the approving body and any independent assessment. A transaction is not proven unfair simply because parties are connected. The research task is to evaluate the safeguards and economic terms.
Test the incentive mathematically
Suppose an external fee equals 1% of gross assets. Increasing assets from $1 billion to $1.2 billion raises that fee from $10 million to $12 million, even if earnings per share do not improve. This hypothetical structure creates an incentive worth monitoring. Actual agreements may use different bases, thresholds and exclusions.
Connect governance with capital allocation
Review the record of acquisitions, issuance, buybacks and disposals. Compare promised benefits with subsequent results. Look for board oversight, clear disclosure and compensation measures that account for risk. An attractive property portfolio can still produce disappointing shareholder outcomes if financing and incentives favor expansion over value per share.
Try it yourself
A manager is rewarded for total FFO growth while shares outstanding rise faster than FFO. What issue should the investor investigate?
Show the worked answer
The incentive can reward aggregate growth without improving each investor's claim. Compare diluted FFO per share, capital raised, investment returns and the complete compensation framework.
