Hybrid Security Foundations · Hybrid Securities

The prospectus explains the rights you purchase. Build a concise term sheet from it before using a quoted yield or an issuer presentation.

Find the complete document set

Start with the final prospectus or offering circular and the security specific terms. A base prospectus may describe many possible products while the final terms define the one you are considering. Keep amendments, pricing supplements and subsequent notices with the original documents. Record the security identifier and document date so a similar ticker does not lead you to the wrong contract.

Extract the decision changing clauses

Write down the issuer, guarantor if any, currency, denomination, ranking and governing law. Then record whether payments are mandatory, cumulative, discretionary or subject to a test. Add conversion formulas, redemption rights, notice periods and settlement choices. A phrase such as expected call date belongs in a different field from contractual maturity.

Reconstruct a payment example

Suppose a term sheet states a benchmark plus 3 percentage points, calculated on $1,000 face value using a 90 day period and a 360 day convention. With the applicable benchmark fixed at 4%, the period amount is $1,000 × 7% × 90 ÷ 360, or $17.50. This calculation still assumes payment is permitted and made.

If the displayed distribution differs, investigate the reset date, day count, accrued amount and any tax adjustment. Do not silently change the formula to match a website. A discrepancy is a reason to read further, not evidence that either figure is automatically wrong.

Keep unanswered questions visible

Create a list of missing information, including broker exercise cutoffs, minimum trade size and transfer restrictions. A prospectus can explain legal rights without telling you whether your broker supports the required action. Resolve operational questions before committing cash. When a critical clause cannot be explained in plain language, leave the security outside the eligible research list until it can.

Try it yourself

Using the same convention, calculate a 90 day distribution on $2,000 face value at an annual 6% rate.

Show the worked answer

$2,000 × 6% × 90 ÷ 360 equals $30. This is the contractual calculation before any payment restriction, withholding or transaction cost.
