Fund Terms and Liquidity · Hedge Funds

The offering memorandum describes the opportunity, while the governing agreements define important rights and obligations. Read them together before relying on a presentation.

Start with the documents that govern

Request the current offering memorandum, fund agreement, subscription documents and relevant supplements. Confirm which document controls if descriptions conflict. A slide deck may summarize the strategy but leave out discretion to suspend dealing, change exposures or allocate expenses.

Mark the legal entity, share class, currency and date on each document. A familiar fund name can cover several vehicles with different terms. A side letter may give particular investors additional rights, subject to applicable law and the agreement. Ask which rights apply to your own investment.

Convert dense language into a term sheet

Create headings for permitted investments, leverage, fees, valuation, liquidity, conflicts and termination. For each, record the rule, any exception and who can approve an exception. A stated exposure limit is more useful when the measurement basis and consequences of a breach are clear.

Suppose a presentation promises quarterly liquidity. The agreement adds a 90 day notice period, a fund level gate and authority to suspend redemptions. Quarterly describes the ordinary opportunity to request cash, not an unconditional promise to receive every requested amount every quarter.

Resolve unanswered questions in writing

Ask the manager to point to the operative clause rather than merely confirm a verbal interpretation. Determine whether a clarification changes the legal agreement or is only an explanation. Keep the final documents and correspondence so later changes can be compared with the original investment case.

The most important clause depends on the strategy. A liquid equity portfolio raises different questions from a fund holding private loans. Read the risk section beside the actual positions and financing arrangements. A general warning about possible loss does not explain the specific mechanics of this fund’s potential loss.

Try it yourself

The presentation lists a 1% management fee, while the subscription packet offers two share classes with different minimums and fees. What should you establish before comparing performance?

Show the worked answer

Identify the exact class you can buy, its complete fee schedule and the class used in the reported return history. A headline fee or another class’s returns may not describe your economics.
