Governance and Due Diligence · Collective Funds

Oversight is a continuing process of informed decisions, documentation and review. A trustee or plan committee cannot evaluate a fund solely by its latest return ranking.

Identify the duty and the decision maker

The trustee’s obligations arise from the applicable trust and banking framework. Retirement plan fiduciaries can have additional duties under ERISA and other rules. The precise responsibilities depend on the entity, account and function being performed.

For research purposes, identify who selects the investment, who oversees providers and who monitors the result. A service contract should not be mistaken for evidence that every responsibility has disappeared from the selecting party.

Judge the process

A documented decision should connect the investment objective, alternatives, costs, risks and participant needs. It should explain why the selected option is appropriate under the circumstances. A favorable outcome does not cure a weak process, and a market loss does not automatically prove an improper decision.

Imagine a committee comparing two similar funds. Recording only the winner’s recent return omits fees, class availability, liquidity and operational checks. A stronger record explains the tradeoffs and the evidence considered.

Make monitoring specific

Set review dates and event triggers, such as a manager departure, fee change, mandate change or control failure. Decide who receives reports and who can escalate concerns. The process should produce action when evidence changes, not merely store documents.

Where legal obligations are uncertain, obtain qualified advice. An educational checklist is useful for organizing questions, but it does not replace the legal standard applicable to a particular fiduciary role.

Try it yourself

A committee delegates portfolio management. What question remains about oversight?

Show the worked answer

Who evaluates the manager and monitors the delegated arrangement, under the applicable duties and contract? Delegation and ongoing oversight are separate questions.
