The two purchases
Pale Fire’s joint Coursera filing reports purchases of 1,332,742 shares on September 25, 2026, at $5.0639 and 1,000,000 shares on September 29 at $4.6062. The reported figures imply approximately $11.36 million before costs.
The shares are directly owned by Pale Fire Capital SICAV. The document reports 28,806,415 shares afterward and explains why the manager, parent and related controlling persons may also be deemed beneficial owners. It identifies the reporting group as owning more than 10% of the outstanding common stock.
Economic exposure and control are different questions
The purchase increases the reported economic position. It does not establish that the group has obtained control of the company or secured any particular board outcome.
A joint report can contain several reporting persons without describing several independent purchases. Multiplying the transaction by the number of names would produce a fictitious total. The ownership explanation is the key to avoiding that error.
An investor considering possible activism needs a separate statement of intentions or another relevant disclosure. A purchase alone is insufficient evidence of a campaign, a sale process or an expected acquisition premium.
The operating test for shareholders
For an education platform, a useful business review asks whether users and institutional customers translate into recurring, profitable demand. Customer retention, pricing and the cost of acquiring business all affect the economic value of growth.
The position increase may make subsequent ownership amendments worth monitoring, especially if the investor states a new purpose. Until then, the strongest supported conclusion is the narrow one: a connected shareholder group added to its disclosed position.
Readers should also separate the two purchase dates from today’s market quotation. Historical execution prices do not provide a current offer and do not show the group’s eventual return.
