A director increases exposure
Oracle director Stephen H. Rusckowski reported purchasing 25,000 common shares on September 29, 2026, at a weighted average price of $139.352. The reported figures imply approximately $3.48 million of consideration before costs.
The shares are held through the Stephen H. Rusckowski Living Trust. The filing shows 25,390 shares in that ownership line after the purchase and separately lists 60 shares held directly. The transaction table identifies the acquisition with code P.
Why the ownership column matters
Indirect ownership does not mean Oracle acquired these shares. The distinction is between securities attributed to a reporting person through a trust and securities registered directly in that person’s name. It should not be combined with the company’s own repurchase program.
The purchase is large relative to the earlier balance in this particular trust line. That is useful context, but it is not a complete account of the director’s wealth or economic exposure. Other assets and interests cannot be inferred from this document.
The footnote provides a range of execution prices. Using one weighted price makes the reported value an approximation, not a brokerage statement showing commissions and every execution.
From ownership signal to operating evidence
For a software and infrastructure investment, the next research question is whether spending converts into durable customer cash flows. A purchase by a director does not answer how profitable future contracts will be or how much capital will be required to serve them.
Shareholders can compare later financial disclosures on revenue, capital spending and cash generation with their existing assumptions. If operating evidence changes, the September transaction does not remove the need to revise those assumptions. The filing is a dated observation of ownership, not an independent estimate of fair value.
