The disclosed sales

Nvidia director Mark A. Stevens reported sales totaling 1,366,000 shares on September 18, 2026. Adding the sale rows at their reported weighted average prices gives approximately $300.15 million before costs.

The disclosure distinguishes shares held by the Third Millennium Trust from those held by the Envy Trust. The filing’s plan indicator is not marked. That does not establish a motive for the sales or provide a complete account of every arrangement outside this document.

Why a single remaining balance can mislead

When several ownership lines appear in one filing, the last balance is not necessarily the reporting person’s total stake. Each balance belongs to its own ownership line. Treating the final row as the full position can make a partial sale look like a much larger reduction in exposure.

The dollar amount also reflects the share price. A large sale value is not, by itself, a measure of how negative an insider is about the company. The document reports what happened, while personal objectives remain unreported unless explained in the filing.

The absence of a marked plan indicator should not be turned into an allegation. It simply limits what this particular disclosure establishes about a qualifying trading plan.

Keep operating risk separate

For Nvidia shareholders, the research task remains to assess the durability of demand and the returns customers earn on their investment. Revenue concentration, competitive alternatives and the pace of infrastructure spending are business questions that cannot be answered by one director’s transaction.

A sensible monitoring record keeps sales separate from gifts, awards and transfers, and compares similar periods without counting the same trust shares twice. It can then be considered alongside financial disclosures rather than used as a substitute for them.

No causal link between these sales and a later share price move is established by the Form 4. Any claim about market impact would require separate trading and price evidence.
