What was sold and what was given

Broadcom director Henry Samueli reported selling 702,190 shares on September 23, 2026. The sale rows imply approximately $250.01 million before costs when multiplied by their reported prices.

The document also reports 72,474 shares under gift code G. Those shares do not add cash proceeds to the sale total. The filing states that the reported transactions were effected under a trading plan adopted on December 16, 2025.

Timing changes the interpretation

A previously adopted plan places the execution in a different context from a decision first made on the trading date. The adoption date is therefore relevant to interpreting timing. It does not guarantee the company’s outlook, make the transaction irrelevant or establish how the stock will perform afterward.

Several direct and indirect holdings appear in the document. A careful ownership analysis must follow those lines individually rather than attaching every remaining balance to a single trust or adding the same economic exposure more than once.

Gift transactions change reported ownership without establishing a sale price or cash receipt. Including them in a headline about stock sold would confuse different types of activity.

The shareholder question beyond the filing

Investors evaluating a large technology supplier still need to examine customer demand, profitability and the cash required to support growth. A director’s liquidity transaction cannot quantify the strength of an order pipeline or the margin on future business.

The filing can help readers monitor ownership concentration and the timing of disclosed activity. It should be paired with operating results and the company’s capital allocation decisions. Those sources answer different questions.

The reported weighted prices are historical execution summaries. They are neither current market quotes nor targets that other shareholders can expect to receive.
