The ownership chain behind the purchase
A joint Form 4 for Berkshire Hathaway and Warren Buffett reports Lennar purchases on October 1 and 2, 2026. Across Class A and Class B transaction rows, the filing records 2,418,637 shares acquired. The reported prices imply approximately $192.63 million before costs.
The footnotes attribute the holdings to Berkshire insurance subsidiaries. They show 28,438,045 Class A shares and 568,028 Class B shares after the reported transactions. Buffett’s appearance reflects the disclosed beneficial ownership chain, not a second set of purchases to add to Berkshire’s total.
A larger stake is not an announced takeover
A substantial shareholder can increase economic exposure without announcing a plan to control the business. This transaction report does not, by itself, announce a takeover, board campaign or merger proposal.
Different share classes also need separate treatment. An aggregate share number is useful for describing the transaction size, but it does not necessarily translate into a voting percentage. That calculation requires the rights and outstanding totals for each class.
The same principle applies when a fund, its subsidiaries and a controlling person all appear in related disclosures. Count the underlying transaction once, then describe the parties to whom the interest is attributed.
What the housing exposure adds to the story
The ownership change creates a question for further research about the attractiveness of the homebuilding business at the prices paid. It does not answer questions about affordability, customer cancellations, incentives or returns on land investment.
For shareholders, those operating measures help distinguish volume growth from profitable growth. A large outside investor’s purchase can be a useful reason to examine them more closely, but cannot replace the examination.
The amount here relates only to the two trading dates in this filing. It should not be relabeled as Berkshire’s entire Lennar investment or added to overlapping reports from related owners.
