The terms in the filing
BlackRock Capital Allocation Term Trust’s prospectus supplement describes an offering of transferable subscription rights for up to 21,255,200 common shares. Holders on the September 25, 2026 record date receive one right per share, with five rights generally required to subscribe for one new share.
The filing sets an expiration of October 21, 2026 at 5 p.m. Eastern time unless extended. Investors using an intermediary should check its own instructions and deadline, which can differ from the issuer’s final deadline.

Why ownership arithmetic matters
FOLITIC analysis: A rights offering raises capital by creating additional shares. A holder who does not participate can own a smaller proportion of the enlarged fund. Whether the transaction is attractive also depends on the subscription formula, expenses and the relationship between market price and net asset value.
Transferable rights introduce another decision because they can have a market value of their own. That value is not guaranteed, and transaction costs can matter for small positions. It is therefore incomplete to assess the offer solely by comparing an indicated subscription price with a past market quote.
Questions for a shareholder review
The current prospectus and any subsequent amendments govern the final terms. Investors should compare the cost of exercising rights with buying shares directly and understand the treatment of unused rights. New capital may give the manager more assets to deploy, but raising that capital does not establish that future returns will compensate every holder for dilution or expenses.
