Counterparty Collateral and Documentation · Forwards Trading Guide

Documentation turns a market quote into defined rights and obligations. The master agreement and the trade confirmation perform different jobs.

Separate the document layers

A master agreement sets the general relationship, including payment, default and termination provisions. Schedules and credit support documents can modify or supplement that framework. A confirmation records the terms of an individual transaction, such as amount, rate, dates and fixing. A dealer’s marketing summary does not replace those operative documents.

Understand payment netting

Where agreed and applicable, reciprocal amounts due between the same parties in the same currency on the same date may be combined. If one payment is $400,000 and the opposite payment is $370,000, payment netting could leave $30,000 due. Different dates, currencies, entities or agreement scopes may prevent that treatment. Treasury must confirm the actual arrangement rather than silently offsetting its spreadsheet.

Distinguish termination netting

Closeout netting concerns how covered transactions are valued and combined when the agreement terminates. It differs from ordinary payment netting and from accounting offsetting on a balance sheet. Enforceability can depend on governing law, counterparty type, insolvency rules and the relevant jurisdictions. A familiar standard form is useful but not proof that every netting assumption is valid.

Check the confirmation promptly

Reconcile trade direction, notional, rate, maturity, settlement instructions and any special provisions against the authorised execution record. Resolve discrepancies early and preserve the audit trail. Operational teams need access to the terms that affect payment, collateral and disruption handling. Material legal terms should be reviewed by qualified counsel before the relationship is relied upon.

Try it yourself

Two contracts have opposite dollar payments on the same date, but one is with a parent company and the other with its subsidiary. Is ordinary bilateral netting automatic?

Show the worked answer

No. The legal counterparties differ. Netting requires an applicable arrangement covering the actual obligations, not just a shared corporate group name.
