The development
The SEC issued a temporary conditional exemption on September 17, 2026 for specified venues trading tokenized NMS stocks through permissioned automated liquidity pools. Conditions include equivalent holder rights, limits on securities and volume, issuer notice procedures, publicly auditable contracts and trading halts when the underlying stock is halted. The order expires five years after publication.

FOLITIC analysis
The central question for a tokenized share is what legal and economic rights it carries. A token that preserves ownership rights is different from a contract that only tracks a share price. Similar labels and matching price charts can conceal material differences in voting, distributions and claims if an intermediary fails.
Permissioned trading on a public blockchain is also not the same as unrestricted participation. Eligibility checks and venue controls may still govern who can trade. Investors should distinguish the visibility of transaction records from the ability to access the market.
Trading safeguards matter when a token market and the conventional share market follow different hours or liquidity conditions. Price differences may reflect closed underlying venues, limited redemption or the cost of moving positions. A visible spread is not automatically an executable arbitrage opportunity, particularly when transfers or conversions have conditions.
What to watch
Look for venue notices, the specific securities admitted and clear documentation of holder rights. Confirm how the venue handles underlying market halts and corporate actions. The exemption is conditional and limited in scope, so it should not be generalized into permission for every tokenized equity product or every investor.
