The development
Evernorth Holdings disclosed the completion of its business combination on October 9, 2026. Its filing describes XRP and cash contributions and reports that approximately 80.3% of the SPAC’s public shares were redeemed. Ripple contributed about 126.8 million XRP in exchange for company units. The company’s Class A shares and warrants use the Nasdaq symbols XRPN and XRPNW.

FOLITIC analysis
A token contribution is not the same transaction as a company buying tokens on an exchange. The recipient’s holdings can increase while no new market purchase occurs. Reports of treasury accumulation should therefore separate contributed assets, purchased assets and changes caused by valuation.
Redemptions matter because they reduce the cash retained from the listed acquisition vehicle. A large token balance can coexist with a more limited pool of conventional cash for operating expenses. Investors assessing the structure need to distinguish asset value from immediately available funding and consider any restrictions on asset use.
The listed share is also a claim on a company, not a fixed entitlement to one token. Warrants, additional share issuance, expenses and financing arrangements can change exposure per share. A premium or discount to net asset value may reflect those features as well as expectations about management. Comparing the share price with XRP alone leaves out much of the structure.
What to watch
Follow the first financial statements after closing, diluted share counts, cash balances and custody disclosures. Check whether subsequent changes in XRP holdings come from market purchases or transfers under existing agreements. The closing filing documents a completed transaction, but does not establish the future value of either the shares or the underlying token.
