The development

On August 18, 2026, the SEC proposed two exemptions for certain crypto asset offerings involving investment contracts. One would permit a single raise of up to $5 million during four years. The other would allow up to $75 million in a 12 month period. Both would require narrative disclosures, with financial statements and ongoing reporting for the larger route. The proposal also contains a conditional safe harbor.

FOLITIC analysis

A fundraising exemption does not remove the need to examine what investors receive. Token holders may have different rights from shareholders, and the project’s success may not translate into a claim on profits or assets. A description of a network’s potential is therefore no substitute for an explanation of the token’s economic design.

Disclosure quality matters especially where future token supply can change substantially. Investors need to understand allocations, vesting, governance powers and how raised funds will be used. A small initial circulating supply can make a market price look more robust than it would under a larger available float.

The primary offering and later trading are also separate stages. A permitted fundraising route does not guarantee an exchange listing, deep liquidity or the ability to sell at a displayed price. Those outcomes depend on market participation and the rules governing each venue. Treating an exemption as a quality label would confuse legal structure with investment merit.

What to watch

Watch for a final rule, changes to eligibility and any implementation dates. The August announcement remains a proposal in the source reviewed here. Compare future offerings against the requirements actually in force and the specific rights described in their documents, rather than relying on a general claim of regulatory acceptance.
