A change for the European label

The European Commission’s March 2026 update set out the requirement for independent external reviewers of European green bonds to register with ESMA after June 21, 2026. The European green bond standard is voluntary and coexists with other market standards. The requirement should not be described as applying identically to every security marketed as green.

Two reviews are still needed

Environmental review addresses what the proceeds finance and the quality of related disclosures. Credit review addresses whether the issuer can make the promised payments. Passing the first test does not settle the second.

For a corporate issue, investors should read the allocation framework alongside the balance sheet, ranking of the debt and maturity schedule. A credible project can still be financed by a borrower with weak liquidity. Conversely, strong credit metrics do not establish that a sustainability claim is well supported.

Watch the reporting after issuance

Our view is that the most useful discipline is to follow the money over time. Compare the promised allocation with subsequent reports, note any changes in eligible projects and distinguish estimated environmental outcomes from measured results.

The external review provides a point of accountability. It is not a guarantee that project execution, market prices or the issuer’s wider business will meet expectations.

When comparing a green bond with a conventional bond from the same issuer, align maturity, seniority and optionality before interpreting any yield difference. Otherwise a structural difference may be mistaken for a green pricing premium.
